Mr. Caligari is a partner in the San Francisco office of Cox, Castle & Nicholson LLP. Mr. Caligari practices in the area of real estate transactions, including all aspects of commercial and development-related sales, leasing, financing and construction. He has represented clients in a broad range of transactions, including military base redevelopment projects, health care facilities development and acquisition projects, and acquisitions and dispositions of master planned residential and mixed use communities.
Mr. Caligari also has extensive experience on a variety of energy-related projects, including wind farm, geothermal and solar projects, and acquisitions and dispositions of oil and gas facilities.
Mr. Caligari’s practice includes the negotiation of purchase and sale agreements, joint venture agreements, acquisition financing, sale-leaseback and lease-leaseback deals, multi-family residential properties, tax-deferred REIT contribution transactions, landlord and tenant commercial leasing, telecommunications siting, leasing and development matters, construction contracts and licenses, architect agreements, and all types of infrastructure construction and financing issues.
Examples of energy transactions that Mr. Caligari has worked on include representation of: (a) an international wind energy company in negotiating, entering into and implementing wind farm easements and associated property rights and financing agreements for wind energy projects throughout California; (b) one of the world’s largest integrated energy companies in connection with acquisition and disposition of oil tank farm and pipeline assets and associated property rights; (c) a purchaser of an underground natural gas storage reservoir in Central California; (d) a geothermal energy company in the negotiating and entering into geothermal lease agreements; and (e) solar energy project developers in the acquisition and consolidation of real property interests for a variety of California solar energy projects.
Prior to joining Cox, Castle Nicholson in 2006, Mr. Caligari was a partner in the real estate group at the law firm of Morrison & Foerster, LLP. From 1997 to 2002, Mr. Caligari was Senior Counsel at wireless telecommunications company AirTouch Communications, Inc. (later Vodafone-AirTouch), where he was in-house counsel for transactions ranging from the creation of the Verizon Wireless joint venture between Vodafone-AirTouch and Verizon Communications, to the monetization of the Vodafone-AirTouch U.S. telecommunications tower portfolio. Prior to joining AirTouch Communications in 1997, Mr. Caligari was an associate in the Walnut Creek office of Morrison & Foerster where he was engaged in real estate and land use practice.
Mr. Caligari received his law degree from the University of California, Hastings School of Law, cum laude, in 1993 (Order of the Coif, Thurston Society, Hastings Law Journal), and received a Bachelor of Arts degree in Biophysics from U.C. Berkeley in 1989.
Mr. Caligari is admitted to practice law in the State of California, and is a member of the American Bar Association. He was born in Yuba City, California, in 1967.

Lead transactional attorney for private and publicly traded clients in connection with a variety of mixed use residential and commercial development projects throughout Northern and Central California, including joint venture transactions and all types of financing issues. Projects typically involve thousands of residential dwelling units, together with a variety of retail, health care, educational, employment center, community service and public facilities, in addition to golf courses, recreational and other uses.
Wind Energy
Represent an international wind energy company in negotiating, entering into and implementing wind farm easements and associated property rights and financing agreements for wind energy projects throughout California.
Hospital and Medical Office Building Projects
Represent prominent Northern California health care providers with respect to a variety of real estate purchase and sale and leasing transactions, medical office building development projects and construction loan financing issues.

Represent the master developer of the Hunters Point Shipyard Project with respect to land sales to merchant builders, negotiations with the Redevelopment Agency, CC&Rs and disclosure issues.

Serve as legal counsel to master developer with respect to real estate transactional issues related to closure and redevelopment of 11,000 acre mixed-use project, including single and multi-family housing projects.
